|BHAP Membership Agreement|
As a condition to becoming and remaining a member of the Behavioral Health Association of Providers ("BHAP," "we," or "us"), you agree to the terms of the BHAP Membership Agreement (the "Agreement") on behalf of yourself individually and on behalf your organization and its owners, operators, employees, contractors, staff, volunteers, and other agents that may utilize the membership services of BHAP (collectively "you," "your," or the "Member") and that may access BHAP's websites, emails or other communications, or sponsored events ("BHAP Resources").
By becoming a Member and/or using BHAP Resources, you are agreeing to these terms. Please read them carefully.
Membership Dues & Fees
Members must pay all required dues and fees to BHAP annually according to the terms below.
MEMBERSHIP AUTOMATIC RENEWAL: All memberships are for a pre-paid annual membership term. Your membership will automatically renew up to one week (7 days) before the end of the membership year (365 days from the membership initiation date) for another 12-month period. You agree that we may automatically renew your membership and charge your credit card on the one-year renewal date, unless you provide notice of cancellation or cancel your membership by accessing your online account profile. BHAP will automatically renew your membership each year until you cancel the membership or BHAP no longer offers membership service. All fees paid and charges made prior to the Member's proper termination are nonrefundable.
NOTICE OF MEMBERSHIP AUTOMATIC RENEWAL: You will receive email notification approximately 30 days prior to your renewal date. The notice will inform you that the current membership term is about to end, and provide the renewal date your membership will be renewed and your account charged. Emails regarding membership will be sent to the Member's last email of record. To cancel membership without being charged for the renewal year, you must cancel before the renewal date. Please keep a record of your membership date and the next renewal date. You are solely responsible for the timely canceling of your membership regardless of whether you receive notification emails from BHAP.
MEMBERSHIP PAYMENT: The renewal payment will automatically be charged to the same credit card that you used for your original membership or most recent purchase. Membership dues and fees rates in effect at the time of the automatic renewal will be applied. Please contact us by phone at (888) 958-2282 or by email at firstname.lastname@example.org before the renewal date for any changes to your email, account, or billing information or login to your account profile and update your information. To ensure continuation of your membership, credit card numbers need to be updated if they change or expire. You may change or update the credit card registered for automatic renewal at any time by visiting the account profile area on www.bhap.us. The automatic renewal is authorized as a payment by the Member to BHAP from their credit, debit, or bank card. Any automatic recurring payment method or renewal authorization will remain in effect until withdrawn by Member or terminated by provider.
HOW TO CANCEL MEMBERSHIP AUTOMATIC RENEWAL: Members can cancel participation in the automatic annual renewal program at any time by contacting us by phone at (888) 958-2282 or by email at email@example.com, or by accessing your online account profile at www.bhap.us. The cancellation will be applied to any future charges, and will not affect the benefits of any dues paid for the current year.
CANCELLATION: You can cancel your membership at any time. If you cancel your membership, the cancellation will be made effective at the end of your membership term.
MEMBERSHIP REFUNDS: Refunds will not be provided for any membership. BHAP does not provide credit, refunds, or prorated billing for memberships canceled mid-term. In such situations, the Member will continue to have access to BHAP Resources until the membership expires. BHAP reserves the right to offer discounts, refunds, or other courtesies in select circumstances at its sole discretion.

Members must accept the conditions for registration and participation in BHAP events according to the terms below.
EVENT CANCELLATION BY BHAP: BHAP reserves the right to cancel an event due to low enrollment or other circumstances. If BHAP cancels an event, registrants will be offered a full refund. Should circumstances arise that result in the postponement of an event, BHAP has the right to either issue a full refund or allocate registration to the same event at the new, future date. BHAP bears no responsibility for any other costs incurred (such as flights, accommodations, travel expenses, or loss of income).
REGISTRATION CANCELLATION: For event registrations, all cancellations must be received at least one week (7 days) before the start of the event to receive a full refund. If you need to cancel between one week and 48 hours before the event, BHAP will give a credit equal to the registration fee to use at future BHAP events. Cancellations must be made by contacting us by phone at (888) 958-2282 or by email at firstname.lastname@example.org, or by accessing your online account profile. Should a Member be unable to attend an event for which the Member has been registered, a substitute representative is welcome to attend in the Member's place so long as BHAP has been notified in writing and in advance of the event. No refunds or credits will be provided to registrants who do not cancel within 48 hours or do not attend the event. Registrants who do not attend will not be eligible to receive seminar materials.
Code of Ethics
Members must agree to follow the BHAP Code of Ethics according to the terms below.
The Member must review the BHAP Code of Ethics prior to applying for membership and agree to comply with its terms during the period of membership. BHAP has the right to cancel membership at any time for violations of the BHAP Code of Ethics.
Members must accept the disclaimers by BHAP set forth below.

PHOTO/VIDEO DISCLAIMER: BHAP reserves the right to use any photograph/video taken at any event sponsored by BHAP, without the expressed written permission of those included within the photograph/video. BHAP may use the photograph/video in publications or other media material produced, used, or contracted by BHAP including, but not limited to, brochures, invitations, books, newspapers, magazines, television, and websites. By participating in an BHAP event, you are agreeing to release, defend, hold harmless, and indemnify BHAP from any and all claims involving the use of your picture or likeness.
PERMITTED USES: Members may view, download, print, or otherwise access contents from the BHAP website and other BHAP Resources subject to the following conditions: (1) content may be used solely for informational purposes and may not be modified or altered in any way; (2) content may not be distributed, republished, or otherwise utilized other than expressly permitted herein; (3) Members do not acquire any ownership rights to any content within the website or BHAP Resources; and (4) the BHAP logo or other proprietary graphics or trademarks may not be used without BHAP's express written consent.
NAME & LOGO: Use of BHAP's name or logo to designate such groups as members, professional associations, vendors, or affiliates may be granted when deemed to be in the best interest of BHAP. Permission, when granted, shall include the understanding that permission does not involve, either expressly or by implication, any endorsement or sponsorship by BHAP. Permission shall be granted with the understanding that it may be withdrawn at any time BHAP determines that further usage will not be in its best interests or there is a failure to adhere to the basis which the request to use the name or logo was originally submitted and approved.
Members must acknowledge and accept the terms set forth below.
NO REPRESENTATIONS: You acknowledge and agree that BHAP and its Affiliates have not made any guarantee or representations that the information contained or offered in BHAP Resources is always current or complete. While BHAP and its Affiliates have used reasonable efforts in collecting, preparing, and providing quality information and materials, the information presented in BHAP Resources may change or may not be exhaustive. BHAP Resources are not intended to be a complete presentation of all issues or rules related to any topic. Relevant laws, regulations, and rules may vary in your jurisdiction. BHAP does not warrant or make any representations regarding the content, qualifications, accuracy, or completeness of the information, contributors, presenters, text, graphics, links, and other items presented or provided as part of the BHAP Resources.
NO WARRANTIES OR LIABILITY: You acknowledge and agree that BHAP and its Affiliates make no warranties, express or implied, as to the fitness or use of BHAP Resources for a particular purpose. You accept that the Member has no attorney-client relationship with BHAP and its Affiliates. You further acknowledge and agree that nothing contained or represented in BHAP Resources implies a recommendation by BHAP of any course or method of action. Any individual or organization that intends to take, or refrain from taking, any action based on information contained on BHAP Resources should consult with qualified legal counsel or an appropriate professional advisor. All Members are encouraged to engage their own independent legal counsel in making decisions of a legal or regulatory nature.
Limitation of Liability
Members must agree to the limitation of liability set forth below.
If the Member is dissatisfied with any aspect of BHAP membership or BHAP Resources, the sole and exclusive remedy is to discontinue membership. The Member agrees that there is no right of action against BHAP and its Affiliates for injunctive relief or for any damages on any matter concerning the subject matter of this Agreement, membership in BHAP, and/or the use of BHAP Resources. In no event shall BHAP or its Affiliates be liable to Members or any other for any damages of any type as a consequence of membership in BHAP and/or the use of BHAP Resources. To the extent permitted by law, BHAP and its Affiliates exclude all warranties. Notwithstanding the foregoing, the total liability of BHAP and its Affiliates for any claims, damages, losses, reimbursements, causes of action, or other remuneration is limited to the amount paid by the Member to BHAP for dues or fees within the last calendar year (365 days).
WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, IN NO EVENT SHALL BHAP OR ITS AFFILIATES BE LIABLE TO THE MEMBER FOR LOST PROFITS, LOST DATA, FINANCIAL LOSSES, OR INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. IN ALL CASES, BHAP AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE THAT IS NOT REASONABLY FORESEEABLE.
Members must agree to the indemnification provision set forth below.
The Member agrees to indemnify, defend, and hold harmless BHAP and its Affiliates from and against any and all third party claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) that such parties may incur as a result of or arising from: (i) Member's use of BHAP Resources (except to the extent prohibited by law); (ii) Member's violation of the Agreement; (iii) Member's violation of any rights of any other person or entity; or (iv) any viruses, Trojan horses, worms, time bombs, spyware, malware, cancelbots or other similar harmful or deleterious programming routines input by Members into BHAP Resources.
Members must agree to the terms set forth below.
If any provision of the Agreement is held invalid or unenforceable, all other provisions shall remain valid unless such validity would frustrate the purpose of the Agreement, the Agreement shall be enforced to the full extent allowable under applicable law, and a substitute, valid, and enforceable provision most nearly reflecting the original intent shall be developed in place of the invalid provision. No modification to the Agreement is binding unless in writing.
The laws of California, USA, excluding California's conflict of laws rules, will apply to any disputes arising out of or relating to the Agreement, BHAP membership, or the use of BHAP Resources. All claims arising out of or relating to the Agreement, BHAP membership, or the use of BHAP Resources will be litigated exclusively in the federal or state courts of Los Angeles County, California, USA, and the Member consents to personal jurisdiction in those courts.
The Agreement is the entire agreement between the Member and BHAP relating to the subject matter herein and supersedes any prior and contemporaneous oral or written communications, proposals, and representations with respect to its subject matter. The terms in the Agreement control the relationship between the Member and BHAP. The Agreement does not create any third-party beneficiary rights.
BHAP reserves the right to change the Agreement and/or its terms at any time. Any change to the Agreement and/or its terms shall be effective as of the date of posting to BHAP's website or actual notice to Members, whichever is earlier. If there is a conflict between these terms and the additional terms, the additional terms will control for that conflict.
